Terms of Service

1. Acceptance of Terms

By accessing or using any services provided by TRIZZ AI (“Company,” “we,” “us,” or “our”), including the AYA platform and related software, APIs, and documentation (collectively, the “Services”), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Services.

2. Description of Services

TRIZZ AI provides an enterprise-grade AI orchestration platform designed for healthcare and other regulated industries. The Services include agent-based automation, workflow orchestration, API integrations, and related tools delivered via cloud-hosted infrastructure.

3. Eligibility

You must be at least 18 years old and have the authority to enter into a binding agreement on behalf of yourself or your organization. By using the Services, you represent that you meet these requirements.

4. User Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use. We reserve the right to suspend or terminate accounts that violate these terms.

5. Acceptable Use

You agree not to use the Services to: (a) violate any applicable law or regulation; (b) infringe on the intellectual property or privacy rights of others; (c) transmit malicious code or attempt to interfere with the operation of the Services; (d) reverse engineer, decompile, or attempt to extract the source code of any proprietary component; or (e) resell or sublicense access without our prior written consent.

6. Intellectual Property

All content, software, algorithms, designs, and documentation provided through the Services are the exclusive property of TRIZZ AI or its licensors. You retain ownership of any data you submit to the Services. We do not claim ownership of your data and will only process it as described in our Privacy Policy.

7. Data and Privacy

Our collection and use of personal information is governed by our Privacy Policy. For enterprise customers handling protected health information (PHI), data processing is governed by a separate Business Associate Agreement (BAA) executed between the parties.

8. Service Availability

We strive to maintain high availability of the Services but do not guarantee uninterrupted access. We may perform scheduled maintenance, deploy updates, or temporarily suspend access for operational or security reasons. Enterprise customers should refer to their Service Level Agreement (SLA) for specific uptime commitments.

9. Limitation of Liability

To the maximum extent permitted by law, TRIZZ AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Services. Our total liability for any claim shall not exceed the amounts paid by you for the Services during the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless TRIZZ AI, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Services or violation of these Terms.

11. Termination

Either party may terminate this agreement at any time with written notice. We reserve the right to suspend or terminate your access immediately if you violate these Terms. Upon termination, you may request export of your data within thirty (30) days.

12. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or through the Services. Continued use after changes take effect constitutes acceptance of the revised Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes shall be resolved in the state or federal courts located in Delaware.
